Notice is hereby given that on Wednesday, July 14, 2021 at 10:00 a.m. Eastern Daylight Time, or as soon as practical thereafter, in accordance with the provisions of Section 147 of the Internal Revenue Code of 1986, as amended (the “Code”), a public hearing will be held by the Cleveland-Cuyahoga County Port Authority (the “Issuer”) at 1100 West 9th Street, Suite 300, Cleveland, Ohio 44113, with respect to the proposed issuance by the Issuer of Tax Increment Financing Revenue Bonds, Subordinate Series 2021B (Flats East Bank Project) (the “Series 2021B Bonds”) in the maximum aggregate principal amount of $24,000,000.

The proceeds of the Series 2021B Bonds will be used for the purpose of refinancing a portion of the costs of the construction, installation, improvement, and equipping of an 18 story office tower of approximately 476,000 square feet known as the Ernst & Young Tower (the “Project”) for the benefit of Flats East Development LLC, an Ohio limited liability company (the “Company”), which facilities were financed with the proceeds of: (i) the Port Authority’s Development Revenue Bonds, Series 2010B dated December 21, 2010, (ii) the Development Finance Authority of Summit County’s Recovery Zone Facility Revenue Bonds, Series 2010B dated December 21, 2010, and (iii) the State of Ohio’s Economic Development Revenue Bonds, Series 2010-12 dated December 21, 2010. The Project is owned by Flats East Office Tower LLC and operated by an affiliate of the Company, Flats East Office LLC, located at 950 Main Avenue, Cleveland, Ohio, on approximately 3.0 acres near Front Avenue between W. 9th Street and W. 10th Street in the City of Cleveland, County of Cuyahoga, Ohio.

The Series 2021B Bonds will be special obligations of the Issuer and will not constitute a debt or pledge of the faith and credit or the taxing power of the Issuer. Persons wishing to express their views on the proposed bond issuance may appear at the hearing or may submit their views in writing. To ensure their full consideration, all written submissions regarding the proposed bond issuance should clearly reference the aforementioned Series 2021B Bonds and the location and nature of the Project. All written submissions should be sent to the Issuer at the attention of the Garth E. Woodson at 1100 West 9th Street, Suite 300, Cleveland, Ohio 44113, and be clearly marked: Re: Tax Increment Financing Revenue Bonds, Subordinate Series 2021B (Flats East Bank Project). Written submissions should be mailed in sufficient time to be received on or before the aforesaid hearing date.
